END USER LICENSE AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY. BY DOWNLOADING, INSTALLING, ACTIVATING, COPYING, OR USING RC SNARE, OR BY CLICKING TO ACCEPT THIS AGREEMENT, YOU AGREE TO BE BOUND BY IT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

This End User License Agreement ("Agreement") is a legal agreement between you and RC Mix LLC ("RC MIX," "Company," "we," "us," or "our") concerning the RC SNARE audio plug-in software, including its installers, presets, documentation, and updates made available under this Agreement (collectively, the "Software"). If you accept this Agreement for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. License Grant

Subject to your payment of any applicable license fee and continued compliance with this Agreement, RC MIX grants you a limited, perpetual, non-exclusive, non-sublicensable, and nontransferable license to install, activate, and use the Software on no more than two computers at a time. The license is sold on a per-user basis: one license may be used by one natural person. If an organization purchases the license, it must assign the license to one named user, and each additional user requires a separate license.

The license is perpetual, meaning it does not expire solely because time passes. It may, however, end if terminated under Section 12. The Software is licensed, not sold, and RC MIX and its licensors retain all rights not expressly granted in this Agreement.

2. Two-Computer Activation

(a) You may maintain active installations on up to two computers that you own or control.

(b) You may deactivate one computer and activate a replacement, subject to reasonable technical limits designed to prevent abuse.

(c) You may not share activations, credentials, license files, or access to the Software with another person.

(d) A computer replacement, operating-system reinstallation, or major hardware change may require reactivation.

3. Permitted Use and Ownership of Your Work

You may use the Software for personal and commercial music production, recording, mixing, mastering, broadcast, live performance, film, television, games, podcasts, and other lawful audio work. You may make a reasonable number of backup copies of the installer or Software solely for archival or recovery purposes.

RC MIX does not acquire any ownership interest in your recordings, sessions, mixes, masters, compositions, performances, or other audio content merely because you process that content with the Software. Subject to third-party rights and applicable law, you retain all rights in the output you create using the Software.

4. Updates

Your license includes, without an additional Software license fee, all future updates that RC MIX actually releases for RC SNARE. An "update" includes maintenance releases, bug fixes, compatibility updates, and feature updates released under the RC SNARE product name. This promise does not require RC MIX to create or release any particular update, feature, operating-system version, plug-in format, host integration, or release schedule, and it does not include a separately branded product, optional add-on, or successor product sold under a different product name.

Updates may add, modify, or remove features when reasonably necessary to improve the Software, maintain compatibility or security, comply with law, or address third-party platform changes. An update may require acceptance of a revised agreement before installation or use. You are responsible for maintaining backups of projects and testing updates in your production environment.

5. Restrictions

Except to the extent expressly permitted by applicable law, you may not:

(a) sell, resell, rent, lease, lend, sublicense, distribute, transfer, assign, pledge, or otherwise make the Software or license available to another person or entity;

(b) circumvent, disable, tamper with, or defeat activation, license-management, copy-protection, authentication, or security features;

(c) reverse engineer, decompile, disassemble, translate, adapt, or attempt to discover the source code, algorithms, trade secrets, or nonpublic structure of the Software;

(d) modify the Software, create derivative works based on it, separate its components for use with another product, or incorporate it into another software product or service;

(e) remove, alter, obscure, or misrepresent any copyright, trademark, attribution, license, or proprietary notice;

(f) use the Software to provide shared, hosted, time-sharing, service-bureau, cloud-processing, or remote-access functionality to third parties; or

(g) use the Software in violation of law or in a way that infringes, misappropriates, or violates another person's rights.

If applicable law gives you a nonwaivable right to undertake an activity otherwise prohibited above, you may exercise that right only to the minimum extent the law permits and only after providing RC MIX with advance written notice when the law allows such a notice requirement.

6. Nontransferable License

Your license is personal to you and may not be transferred or resold. A purported sale, gift, assignment, transfer, sublicense, or other disposition of the license is void. Updating the account email, replacing an activated computer, or changing an organization's named user through a process expressly approved by RC MIX is account administration and does not create a right to transfer or resell the license.

7. Accounts, Activation, and Connectivity

The Software may require an account, license key, license file, device authorization, or periodic access to a licensing service to activate, validate, deactivate, recover, or update the Software. You must provide accurate account information, protect your credentials, and promptly notify RC MIX of suspected unauthorized access. You are responsible for activity conducted through your account unless caused by RC MIX's breach of its legal duties.

Activation and update services may be temporarily unavailable because of maintenance, outages, security events, internet conditions, or third-party service failures. RC MIX may take reasonable steps to prevent fraud, license sharing, or circumvention, including temporarily limiting activation attempts while investigating suspected abuse.

8. System Requirements and Third-Party Platforms

The Software depends on compatible hardware, operating systems, audio plug-in hosts, drivers, and services that may be supplied or controlled by third parties. You are responsible for confirming the published system requirements before purchase and for maintaining a suitable production environment. RC MIX does not control and cannot guarantee the continued availability or compatibility of third-party platforms.

The Software may contain or interact with third-party components subject to separate notices or license terms. Those terms govern the relevant third-party components and do not reduce rights granted to you under an applicable open-source license.

9. Intellectual Property

The Software, including its code, DSP, user interface, graphics, presets supplied by RC MIX, documentation, names, logos, and other content, is protected by copyright, trademark, trade-secret, and other intellectual-property laws. RC MIX, RC SNARE, and related names and logos are owned by or licensed to RC Mix LLC. No right to use RC MIX's trademarks or branding is granted except as necessary to identify the Software lawfully.

10. Support

RC MIX may provide support through the channels and under the policies described on its website. Unless RC MIX expressly agrees otherwise in writing, this Agreement does not guarantee any particular support response time, custom engineering, project recovery, or compatibility work.

11. Authorized Sources and Transaction Processing

A license is valid only if obtained directly from RC MIX or an authorized seller. Licenses obtained through an unauthorized source, shared account, copied license file, fraudulent transaction, chargeback abuse, or prohibited resale may be refused or deactivated, subject to applicable law. Payment, tax, and refund processing may be handled by an authorized seller or merchant of record under its disclosed transaction terms.

12. Term and Termination

This Agreement begins when you first accept it or download, install, activate, copy, or use the Software, whichever occurs first. It continues unless terminated. RC MIX may terminate this Agreement if you materially breach it and, where the breach can be cured, fail to cure the breach within a reasonable period after notice. RC MIX may terminate immediately for deliberate license circumvention, unauthorized distribution, fraud, or other incurable material breach.

Upon termination, your license and right to use the Software end, and you must stop using and delete all copies in your possession or control. Sections that by their nature should survive termination will survive, including Sections 3 (Ownership of Your Work), 5, 6, 9, and 13 through 20. Termination does not limit any nonwaivable rights or remedies.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. RC MIX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND RESULTS. RC MIX DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, COMPATIBLE WITH EVERY SYSTEM OR HOST, OR SUITABLE FOR A PARTICULAR RECORDING, MIX, PERFORMANCE, OR PROFESSIONAL OUTCOME.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE DISCLAIMERS ABOVE APPLY ONLY TO THE EXTENT PERMITTED BY LAW, AND YOU RETAIN ALL NONWAIVABLE STATUTORY RIGHTS. Nothing in this Agreement limits any express written promise that RC MIX separately makes to you and that applicable law does not permit RC MIX to disclaim.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RC MIX AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, RECORDINGS, PROJECTS, OR USE; COST OF SUBSTITUTE GOODS OR SERVICES; OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RC MIX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE AFFECTED RC SNARE LICENSE. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, WILLFUL INJURY, VIOLATION OF LAW, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. Some jurisdictions do not allow certain exclusions or limitations, so some of the foregoing may not apply to you.

15. Your Responsibility for Projects and Backups

Audio production can involve valuable and time-sensitive work. You are responsible for saving, backing up, archiving, and testing your sessions, recordings, presets, and system configuration before installing an update or making material changes to your production environment. The Software is not a data-storage or backup service.

16. Export and Sanctions Compliance

You may not use, export, reexport, transfer, or make the Software available in violation of United States export-control, sanctions, or import laws or other applicable trade laws. You represent that you are not prohibited from receiving the Software under applicable law and will not use it for a prohibited end use.

17. Government Users

The Software is commercial computer software and commercial computer software documentation. Any use by or on behalf of the United States government is subject solely to the rights customarily provided to the public under this Agreement, consistent with applicable procurement regulations.

18. Governing Law and Disputes

This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to any nonwaivable right to bring a claim elsewhere, the state and federal courts located in Los Angeles County, California, will have exclusive jurisdiction, and you and RC MIX consent to personal jurisdiction and venue there.

If you are a consumer, nothing in this Agreement deprives you of protections that the law of your place of residence requires to apply or of a forum that applicable law makes available to you. Before filing a claim, the parties are encouraged, but not required, to contact one another and attempt in good faith to resolve the dispute informally.

19. Changes to This Agreement

RC MIX may revise this Agreement for future downloads, installations, activations, or updates. A revised agreement will identify its effective or last-updated date and will apply only after you accept it or take another action that applicable law recognizes as acceptance. A revision will not retroactively reduce rights already vested under a version of this Agreement without your consent, except to the extent required by law.

20. General Terms

(a) Entire Agreement. This Agreement and any terms expressly incorporated into it are the entire agreement between you and RC MIX concerning the Software and replace prior or contemporaneous discussions and agreements on that subject.

(b) Severability. If a provision is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

(c) No Waiver. A failure or delay in enforcing a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.

(d) Assignment by RC MIX. RC MIX may assign this Agreement in connection with a merger, reorganization, financing, sale of assets, or transfer of the RC SNARE business. You may not assign or transfer it.

(e) Headings. Headings are for convenience and do not affect interpretation.

(f) Electronic Communications. You consent to receive agreements, notices, and records relating to the Software electronically, subject to applicable law.

(g) Language. If this Agreement is translated, the English version controls to the extent permitted by law if there is a conflict.
